Reselling this studio
Effective 29 September 2026.
These are the standard terms on which GraniteAi LLC lets an agency sell the studio to its own clients under its own brand. Each agency signs its own copy, with its legal name, its domain and its share filled in. What you read here is the form that copy takes.
What you get
A workspace on your own domain, carrying your name, your logo, your colours and your landing copy. Your clients sign in there, connect their own LinkedIn accounts and get drafts written from their own material. You set each client's voice, writing style, posting frequency and who releases a post. GraniteAi runs the software and holds the accounts with LinkedIn, OpenAI, Stripe, Resend, Vercel and Neon that the workspace depends on, and keeps owning them. Nothing here gives you rights to the GraniteAi name or the source code.
Your price and our share
You set what your clients pay, monthly, at $49 a client a month or more. GraniteAi takes 50% of the pre-tax subtotal of each client invoice and you keep 50%. Refunds come off before the split, so a refunded invoice is one we take no share of, and a partial refund reduces our share by the same proportion.
The 50% rate holds for each of the first ten agencies to sign. Beyond that group no rate is promised in advance. A change to your rate takes written notice before it starts, it never applies backwards, and every payment already recorded stays at the rate it was recorded under.
Stripe's own processing fees come out of your half, not ours.
Who bills the client
You bill your clients. You set the price at $49 a client a month or more, invoice your clients on your own paper and your own terms, collect from them yourself, and grant and revoke their access from your portal. You are the merchant of record for what you sell them; GraniteAi never charges your clients and never holds their money. Sales tax on what you sell is yours to register for and collect.
GraniteAi invoices you. On the 1st of each month GraniteAi sends you an invoice for 50% of your own list price for every client seat that held access at any point in the month just ended, in the currency of that price, due within 15 days. A client who cancels mid-month is a seat for that month and not the next. You can see the running count under Money in your portal.
Taking your clients' card payments on your own Stripe account, with GraniteAi's share collected as a fee on each charge instead of by invoice, is planned for later and is not offered under this agreement today. When it is, it starts only once you connect that account and Stripe has turned charges on for it, and section 9 below then applies.
Support
Write to support@graniteai.co. You get a first answer within one business day, and the same day when publishing or billing is down for your clients. That is a response commitment. It is not a promise about uptime.
Everything your clients publish through the workspace is subject to LinkedIn's Developer Program Terms of Use, its API Terms of Use and its Professional Community Policies, whether or not your own client terms repeat them. Do not tell a client, or let a client believe, that publishing here is outside LinkedIn's rules. Where the workspace itself enforces a restriction for this reason, pass it through to your clients unchanged.
Suspension
GraniteAi can suspend an agency for non-payment after notice, for a breach it has been told about and has not fixed, or where a client is at risk. A suspension is dated. From the date it starts, your clients keep signing in, keep reading their workspaces and keep exporting their material for 30 days. What stops immediately is new business: no new client sign-ups, no new checkouts and no new access grants. If the suspension is lifted inside that window, everything resumes where it stopped.
Ending the agreement
Either party can end this agreement on the written notice its signed copy names, or at once for a material breach the other has not cured within 15 days of being told about it in writing. A material breach cured in time ends nothing.
On the day it ends, four things happen. Your clients get at least 30 days' notice from you before their access ends, so nobody loses a workspace without warning. Client subscriptions on your own Stripe account stay yours to cancel on your own schedule, since you were always the biller. GraniteAi settles the final share, or sends the final invoice, for the partial month. And your clients' data stays exportable, in the same form the workspace already gives an individual client, for 30 days after the end date, after which ordinary retention and deletion apply.
Disconnecting your Stripe account
Remove GraniteAi's application fee from every one of your active client subscriptions before you disconnect the account, and tell us when you have. Because your clients are charged on your own account, Stripe keeps applying a fee that is still attached to a subscription even after the connection between the accounts is gone. Disconnecting first leaves fees being taken on charges we are no longer entitled to, and unwinding that afterwards means a refund for every invoice it touched.
Data protection
For clients in the European Economic Area, the United Kingdom or Switzerland, GraniteAi is the processor and you, together with your client where that applies, are the controller. GraniteAi processes personal data only on your instructions, as the workspace's own designed behaviour and the privacy notice on your domain describe. Subprocessors are listed publicly and you are told before one is added. GraniteAi will help you answer a client's data request where the workspace's own export and deletion tools do not already answer it, and will tell you without undue delay after learning of a breach affecting your clients.
Liability
Each party's total liability under this agreement in any twelve-month period is limited to the amounts paid or payable between the parties in that period, and neither is liable to the other for indirect, consequential or lost-profit damages. Nothing here limits liability for fraud, wilful misconduct, a confidentiality obligation, or anything that cannot be limited by law.
Governing law
New Hampshire law governs this agreement, without regard to its conflict-of-laws rules, and both parties submit to the exclusive jurisdiction of the state and federal courts in New Hampshire.
